1.1. These Terms and Conditions ("Terms") govern participation in the Bonzo Points Program ("Program") operated by Bonzo Finance Labs ("Bonzo Finance Labs"). By participating in the Program, you ("User" or "you") accept and agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in the Program.
2.1. The Program rewards Users who supply liquidity to and borrow liquidity from the Bonzo Finance protocol.
2.2. Points are distributed based on the dollar value of assets supplied and borrowed, calculated on a 24-hour basis.
2.3. The Program consists of a Pre-Season and three regular seasons, each lasting 6 months, as detailed in the Bonzo Finance application.
3.1. Users expressly acknowledge and agree that Bonzo Points have no monetary value, real or implied.
3.2. Bonzo Points are non-transferrable and have no cash value.
3.3. Bonzo Points cannot be bought, sold, or exchanged for cryptocurrency or any other form of value.
3.4. The accumulation of Bonzo Points does not entitle Users to any equity, revenue, or profit share in Bonzo Finance Labs or any affiliated entity.
3.5. At the end of each season, Bonzo Points serve as a reference for the distribution of $BONZO tokens. This distribution process does not constitute an exchange or conversion of Bonzo Points to $BONZO tokens.
4.1. Point calculation methods and distribution schedules are as detailed in the Bonzo Finance application.
4.2. Bonzo Finance Labs reserves the right to modify point calculation methods and distribution schedules at any time without prior notice.
4.3. At the end of each season, Bonzo Finance Labs will use the accumulated Bonzo Points as a reference to determine the allocation of claimable $BONZO tokens to Users.
4.4. The rate at which Bonzo Points correspond to claimable $BONZO tokens is determined solely by Bonzo Finance Labs and may vary between seasons.
4.5. The conversion rate between Bonzo Points and claimable $BONZO tokens will be announced by Bonzo Finance Labs at its discretion, typically near the end of each season.
4.6. Users acknowledge and agree that they have no right to demand a specific conversion rate or allocation of $BONZO tokens based on their accumulated Bonzo Points.
4.7. The allocation of $BONZO tokens based on Bonzo Points does not constitute a sale, exchange, or transfer of Bonzo Points.
4.8. Bonzo Points are not consumed, spent, or exchanged in the process of $BONZO token allocation. Users retain their accumulated Bonzo Points after the allocation of $BONZO tokens.
4.9. Bonzo Finance Labs reserves the right to modify, delay, or cancel the allocation of $BONZO tokens at its sole discretion.
5.1. Eligibility for participation in the Program is determined solely by Bonzo Finance Labs.
5.2. Bonzo Finance Labs reserves the right to deny participation to any User or group of Users at its sole discretion.
5.3. Users are responsible for ensuring their participation complies with all applicable laws and regulations in their jurisdiction.
5.4. Bonzo Finance Labs reserves the right to disqualify, suspend, or terminate the participation of any User found to be: a) Attempting to hack, exploit, or otherwise compromise the integrity of the Program or the Bonzo Finance protocol; b) Using automated systems, bots, scripts, or other technological means to manipulate the Program; c) Engaging in any form of fraudulent activity related to the Program; d) Violating these Terms or any applicable laws or regulations.
5.5. In the event of disqualification, all accumulated Bonzo Points associated with the disqualified User will be forfeited immediately.
6.1. Bonzo Finance Labs reserves the right to modify, suspend, or terminate the Program, in whole or in part, at any time and for any reason, without prior notice and without liability to Users.
6.2. Bonzo Finance Labs may, at its sole discretion, modify any aspect of these Terms at any time. Continued participation in the Program following any modification constitutes acceptance of the modified Terms.
7.1. The Program is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
7.2. Bonzo Finance Labs disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.3. In no event shall Bonzo Finance Labs be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the Program or these Terms.
7.4. Users participate in the Program at their own risk. Bonzo Finance Labs is not responsible for any losses or damages resulting from participation in the Program.
8.1. Users agree to indemnify, defend, and hold harmless Bonzo Finance Labs, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with their participation in the Program.
9.1. These Terms shall be governed by and construed in accordance with the laws of Dubai, without regard to its conflict of law provisions.
9.2. Any dispute arising out of or relating to these Terms or the Program shall be subject to the exclusive jurisdiction of the Dubai International Arbitration Centre (DIAC).
10.1. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
11.1. The failure of Bonzo Finance Labs to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
12.1. These Terms constitute the entire agreement between Users and Bonzo Finance Labs concerning the Program and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between Users and Bonzo Finance Labs.
13.1. Users agree not to attempt to hack, exploit, or otherwise compromise the integrity of the Program or the Bonzo Finance protocol.
13.2. Any attempt to manipulate, exploit, or game the Program or the Bonzo Finance protocol is strictly prohibited and may result in immediate disqualification and potential legal action.
13.3. Bonzo Finance Labs reserves the right to pursue all available legal remedies against Users who engage in fraudulent or malicious activities related to the Program, including but not limited to civil litigation and reporting to law enforcement authorities.
13.4. Users agree to cooperate fully with any investigation into suspected fraudulent or malicious activities related to the Program.
By participating in the Bonzo Points Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
